If there is any conflict between these Terms and a separately signed service agreement, the signed service agreement prevails in relation to the relevant services.

The website provides general information about AM Prime, its potential services and its business capabilities.

Website content:

is provided for general information only;
does not constitute a binding offer;
does not guarantee availability, capacity, pricing or delivery dates;
does not constitute legal, tax, customs, regulatory, logistics or other professional advice; and
should not be relied on as a substitute for a project-specific written agreement or professional assessment.

Website images are illustrative and may not represent a specific facility, location, product or service arrangement.

5. No Offer or Binding Commitment

Descriptions of services, facilities, capabilities, volumes, territories, timeframes and other information on the website are indicative only.

Service availability and scope are subject to:

review of the proposed project;
operational and compliance checks;
availability of suitable facilities and operating partners;
agreement on commercial and legal terms; and
written confirmation by AM Prime.

Submitting a request, uploading a file, receiving an acknowledgement or exchanging preliminary communications does not:

create a contract;
reserve warehouse or fulfilment capacity;
establish pricing;
create exclusivity;
create an agency, partnership, joint venture or fiduciary relationship; or
require either party to proceed with the proposed project.

A binding service relationship arises only when the relevant parties sign a separate written agreement.

6. Requests, Information and Uploaded Files

When submitting a request, you confirm that:

the information provided is accurate and not misleading;
you are authorised to provide the information;
you have the right to upload and disclose any attached materials;
the information does not infringe third-party rights;
the request does not relate to unlawful or prohibited activity; and
uploaded files do not contain malware, harmful code or unauthorised personal information.

You must not submit:

payment card information;
bank account credentials;
passwords;
government identification documents;
special-category or highly sensitive personal data;
information protected by third-party confidentiality obligations without authorisation;
trade secrets that AM Prime has not agreed in writing to receive; or

The involvement, location, scope and responsibility of any partner will be determined on a project-by-project basis and, where relevant, addressed in the applicable written agreement.

Nothing on the website constitutes a representation that a particular facility or partner is owned, controlled or exclusively operated by AM Prime.

You must not use the website to request services relating to:

unlawful, stolen or counterfeit goods;
goods prohibited from storage, transport, import, export or distribution;

To the fullest extent permitted by law, AM Prime’s total aggregate liability for direct loss arising solely from use of the website will not exceed USD 100.

Limitations applying to services provided under a separate agreement will be governed by that agreement.

To the fullest extent permitted by law, you agree to indemnify and hold harmless AM Prime and its members, managers, officers, employees and representatives from claims, losses, liabilities and reasonable costs arising from:

This section does not apply to the extent a claim results directly from AM Prime’s unlawful conduct.

Those policies provide information about our practices but do not form part of these Terms as contractual service terms.

17. Suspension and Termination

To the fullest extent permitted by law, the state courts located in Sheridan County, Wyoming, and the federal courts having jurisdiction over Sheridan County will have exclusive jurisdiction over any dispute relating to the website or these Terms.

Mandatory rights that cannot lawfully be excluded remain unaffected.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

A failure or delay by AM Prime to enforce a right does not waive that right.

These Terms constitute the entire agreement concerning use of the website, but do not replace any separate written service agreement.
